OPG was established under Business Corporations Act (Ontario), is wholly owned by the Province of Ontario and is an Ontario-based company whose principal business is the generation and sale of electricity. The OPG Board oversees strategic direction and holds management accountable for executing OPG’s strategy. It participates in the strategic planning process throughout the year by reviewing and approving the strategic plan (considering the opportunities and risks of the business), regularly scrutinizing management’s execution of business plans and their results, and annually assesses the Company’s performance against financial and other objectives established in OPG’s business plans, past performance and against industry peers. Sophisticated governance is key to the ongoing stewardship of electricity to Ontarians.
OPG is committed to strong governance and believes that an important prerequisite is having a Board that comprises individual directors who, collectively, have the full range of skills, expertise, and experience necessary to oversee management and otherwise fulfill its duties and responsibilities. While the appropriate technical skills and experience are essential, equally important are the personal attributes and competencies a prospective Board member will bring to the table.
OPG has an eleven-member Board of Directors, all of whom are independent except for the President and CEO of OPG. OPG is currently seeking a Board Director who will bring to the Board significant audit, accounting and/or financial functional expertise, combined with an accounting designation and substantial senior leadership and governance experience ideally gained in complex unionized organizations. Experience chairing an audit committee of a publicly traded company would serve as an asset as would experience with rate regulated accounting.
